Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of OriginText (the “Service”), operated by PFG Apps (“PFG Apps”, “we”, “us”, or “our”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Definitions

• Service — the OriginText application, including its local-first workspace and any optional cloud features.
• Account — the anonymous or registered identity through which you access the Service.
• Content — the notes, files, and other material you create or store using the Service.
• Workspace — a collection of your Content, which may be local-only or, on a paid plan, synced and shared.

2. The Service

OriginText is a local-first markdown application that stores your notes on your device and works offline as an installable web app. Free use is local-only. Paid plans add optional end-to-end encrypted cloud sync and sharing, as described on our pricing page. We may add, change, or remove features over time.

3. Eligibility

You must be at least 16 years old, or the minimum age of digital consent in your jurisdiction, and able to form a binding contract, to use the Service. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

4. Accounts

You may use the Service anonymously or create a registered account. You are responsible for the activity that occurs under your Account and for keeping your credentials confidential. You agree to provide accurate information and to notify us promptly of any unauthorized use.

5. Encryption, passphrase, and recovery code

OriginText uses zero-knowledge encryption: your Content is encrypted with keys derived on your device, which we never receive. You are solely responsible for safeguarding your encryption passphrase and recovery code. Because we cannot access your keys, we cannot recover your Content if you lose them. There is no backdoor, and loss of these credentials may result in permanent, irreversible loss of access to your Content.

6. Your Content and ownership

You retain all rights in and to your Content. We do not claim ownership of it. You grant us only the limited rights necessary to operate the Service — for example, to store and transmit encrypted ciphertext so that your Workspaces can sync across your devices and authorized collaborators. You are responsible for your Content and for ensuring you have the rights necessary to store and share it.

7. Acceptable use

You agree not to use the Service to: violate any law or regulation; infringe the intellectual property or privacy rights of others; transmit malware or attempt to gain unauthorized access to the Service or its infrastructure; interfere with or disrupt the integrity or performance of the Service; or abuse, overload, or circumvent the limits of the Service. We may suspend or terminate Accounts that violate these Terms.

8. Subscriptions, billing, and cancellation

Paid plans are billed through Stripe on a recurring basis (monthly or as otherwise stated) until cancelled. Plans may include workspace- and seat-based quantities, which are charged accordingly. By subscribing, you authorize recurring charges to your payment method. You may manage or cancel your subscription from within the app; cancellation takes effect at the end of the current billing period. Fees are exclusive of applicable taxes, which you are responsible for. Except where required by law, payments are non-refundable. We may change pricing prospectively with reasonable notice.

9. Third-party services

The Service relies on third-party providers, including Supabase (authentication and storage) and Stripe (payments). Your use of those features may also be subject to the providers’ own terms and policies. We are not responsible for third-party services we do not control.

10. Intellectual property

The Service, including its software, design, and the OriginText name and branding, is owned by PFG Apps and protected by intellectual-property laws. These Terms do not grant you any right to our trademarks or to copy, modify, or create derivative works of the Service, except as permitted by law.

11. Availability and changes to the Service

We strive to keep the Service available but do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue all or part of the Service, and any feature offered on a preview or beta basis is provided without warranty and may change or be withdrawn.

12. Disclaimer of warranties

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.

13. Limitation of liability

To the maximum extent permitted by law, PFG Apps will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or goodwill, arising from or related to your use of the Service. Given the zero-knowledge design described in Section 5, this includes loss of Content resulting from a lost passphrase or recovery code. Our total liability for any claim relating to the Service will not exceed the amount you paid us for the Service in the twelve months preceding the claim.

14. Indemnification

You agree to indemnify and hold harmless PFG Apps from any claims, damages, liabilities, and expenses arising out of your Content, your use of the Service, or your violation of these Terms or applicable law.

15. Suspension and termination

You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms or where reasonably necessary to protect the Service or other users. Provisions that by their nature should survive termination — including ownership, disclaimers, limitation of liability, and indemnification — will survive.

16. Governing law and disputes

These Terms are governed by the laws of [governing-law jurisdiction to be confirmed], without regard to its conflict-of-laws rules, and the courts of that jurisdiction will have exclusive jurisdiction over any disputes, except where applicable law provides otherwise.

17. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the effective date above, and for material changes we will provide a more prominent notice. Your continued use of the Service after an update takes effect constitutes acceptance of the revised Terms.
